Conflicts of Interest Disclosure Obligations

As outlined in Fluor’s Conflict of Interest policy (HR-703), all salaried employees must disclose any actual or potential Conflict of Interest ("COI") before engaging in any activity that might give rise to a conflict or create the appearance of a conflict. Employees must also provide updates to previously submitted disclosures in the event their situation changes.

Employees can submit or make changes to a disclosure by clicking here (for single sign on / SSO users). If you are a non- SSO user logging in for the first time, contact ComplianceFeedback@fluor.com for further assistance. If you are a returning non-SSO user click here.

What is a COI?

A COI exists whenever an employee’s personal interests are inconsistent with —i.e., conflict with — the interests of Fluor. As a Fluor employee, your primary business loyalty must lie with Fluor.  As a result, an employee must not engage in activities inside or outside of work that create an actual or potential COI between an employee’s personal interests and Fluor’s best interest.

What Happens After I Submit My Disclosure?

All disclosures will be reviewed by the appropriate Fluor department. After review, a determination will be made as to whether the situation is or is not a COI. Once the determination has been made the employee will receive a communication via email advising of the determination and any mitigation actions that are necessary to address the conflict.  In the event the disclosed situation or activity is an actual Conflict of Interest and cannot be mitigated, the communication to the employee will include instructions to cease or avoid the situation or activity.

A Message from Our Chief Compliance & Ethics Officer, Michelle Copeland

At Fluor, we strive to provide a secure and healthy environment for our employees, partners, shareholders, suppliers, and visitors.  We are committed to all of our Core Values, including Integrity and our goal is to provide every employee with reliable, confidential, and anonymous communication tools to speak up, ask questions, seek guidance, and report concerns and/or violations of Fluor’s company policies in a timely manner.

The Fluor Integrity Portal and Hotline is one of those tools, and is an enhancement, not a replacement, of our current Compliance and Ethics guidance and reporting tools. In addition to the Fluor Integrity Portal and Hotline, please feel free to continue to use any other existing Fluor tools, procedures, and protocols if you feel comfortable doing so. This may include, but is not limited to, discussing the concern with your manager, human resources department, employee relations, or the Compliance and Ethics group (ethics@fluor.com). We will ensure that your questions or concerns are assigned to the appropriate team to address and that they will be treated with confidentiality.

Please also keep in mind that the good faith report of a concern or violation will not result in any sort of negative action being taken against you. Retaliation of any sort will not be tolerated by Fluor in response to any reports submitted or for participation in any subsequent investigations.

The Fluor Integrity Portal and Hotline is available 24 hours a day, 7 days a week via a toll-free number, (800-461-9330), or online at www.FluorIntegrity.com where you will also find international, toll free dialing numbers.
